Khái niệm Cap Table, Dilution, ESOP
- Cap table = bảng vốn hóa (capitalization table), liệt kê tất cả cổ đông + cổ phiếu/option, phần trăm sở hữu (diluted & undiluted basis).
- Dilution = phần trăm sở hữu giảm khi phát hành cổ phiếu mới. Ví dụ: Founder 1M (100%), Series A phát 1M mới → Founder 1M/(1M+1M) = 50%, bị dilute 50%.
- ESOP (Employee Stock Option Plan) = kế hoạch cho nhân viên quyền chọn cổ phiếu, thường 10-20% tổng pool, vesting 4 năm (1 năm cliff). Ví dụ: 1M cổ phiếu ESOP chia cho 10 nhân viên, mỗi người 100K, vest 1/48 tháng.
- SAFE/Convertible = công cụ delay dilution. SAFE = hợp đồng chuyển đổi thành cổ phiếu sau (không là nợ ngay). Convertible note = giấy nợ → convert Series A với discount rate (ví dụ 20% discount).

Chú ý: Founder A/B lúc đầu 1M cổ phiếu mỗi người (2M total = 100%). Series A phát 2M @ 10M post → Founder "dilute to 50%" (2M/4M). Nhưng khi ESOP pool add 1.5M → Founder lại dilute to 25% (2.5M/10M). Series B phát 6M (lại 50% increase total shares) → Founder = 2.5M / 13.5M = 18.5%. Kết quả: founder bị dilute 3 lần cascade.
Liquidation Waterfall: chia tiền exit (IPO/M&A)
Khi startup IPO hoặc bán cho công ty khác (exit), tiền chia theo thứ tự:
- Debt/Bank loans — trả nợ ngân hàng (rare ở startup).
- Preferred stock return — investor lấy preferred return (ví dụ 1x non-participating = tối thiểu × vốn bỏ, không chia lãi thêm). Ví dụ: Investor Series A bỏ 2M → tối thiểu lấy 2M khi exit.
- Common stock (founder + employee options) — chia phần còn lại theo % sở hữu.
Ví dụ: exit 100M:
- Investor A (preferred 1x) tối thiểu: 2M
- Investor B (preferred 1x) tối thiểu: 5M
- Còn lại: 100M − 2M − 5M = 93M chia theo common % (Founder A 25%, B 25%, ESOP 11%, advisor 4%)
- Founder A: 25% × 93M = 23.25M (không phải 25M dự tính)

Theo Luật Doanh Nghiệp 2020 (sửa đổi TT 01/2020/QH14):
- ESOP (phát hành cấp cổ phiếu) = quyết định của HĐQT, cấp option cho nhân viên chủ chốt. Vesting schedule 4 năm (1 năm cliff) = chuẩn quốc tế.
- Strike price = thường FMV (fair market value) ngày cấp, hoặc discount tối đa 30% nếu nhân viên mua (ưu đãi). Tuyệt không phép negative strike price (bịa tiền).
- Phát hành cấp (secondary offer) = từ treasury stock hoặc phát hành mới. Treasury stock prefer (tránh dilution founder ngay, khi employee exercise rồi mới dilute).
- Kỳ hạn option = thường 10 năm (startup), 20 năm (mature). ESOP non-qualified (standard VN tax).

Năm sai lầm khi quản lý cap table + ESOP
- Quên add ESOP pool ngay từ Series A — phát hành ESOP sau (Series B) → nhân viên lúc đầu bị dilute thêm. Nên reserve 10-20% ESOP pool ngay seed round, rồi phân config tùy.
- Không track vesting + exercise — employee exercise option năm 1 (cliff complete) → founder quên mark vested, bị nhầm tính dilution. Dùng vesting schedule tracker (Pulley / Carta).
- Sai tính liquidation preference — investor 1x non-participating nhưng founder tính 2x participating (không đúng term sheet) → exit dispute.
- SAFE conversion quên discount + MFN (Most Favored Nation) — SAFE có discount 20% + MFN clause (nếu Series A có better term, SAFE auto better). Quên MFN → complaint investor.
